Welcome to Stay Staged, operated by FrontRunner, LLC ("Stay Staged," "we," "us," or "our"). By accessing or using our website, procurement platform, services, or participating in our trade and affiliate programs (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy.

If you do not agree to these Terms, please do not use our Services. If you are using the Services on behalf of a company, organization, or other entity, you represent that you have the authority to bind that entity to these Terms.

2. DESCRIPTION OF SERVICES

Stay Staged operates a B2B and B2B2C procurement platform connecting interior designers, short-term rental (STR) hosts, boutique hotels, and industry professionals with furniture manufacturers and lifestyle brands. We facilitate wholesale pricing, drop-shipping, and volume-based commissions through our proprietary tier system.

3. USER ACCOUNTS AND ELIGIBILITY

3.1 Account Creation

To access certain features (e.g., trade pricing, affiliate programs), you must create an account. You agree to provide accurate, current, and complete information and update it as necessary. You are responsible for safeguarding your password and for any activities or actions under your account.

3.2 Trade Qualification

Access to specific pricing tiers (e.g., Designer, Hospitality) requires verification of professional status. We reserve the right to request documentation (e.g., resale certificates, tax IDs, business licenses) and may approve or deny trade status at our sole discretion.

3.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms, provide false information, or engage in fraudulent, abusive, or illegal activity.

4. PRICING, ORDERS, AND PAYMENT

4.1 Pricing Tiers

Prices displayed on our platform are determined by your approved account tier (e.g., Host, Designer, Portfolio, Hospitality). We reserve the right to adjust pricing, discounts, and tier qualifications at any time without prior notice. Prices do not include taxes, shipping, or handling unless explicitly stated.

4.2 Order Acceptance

All orders are subject to acceptance by Stay Staged and our vendor partners. We may cancel or limit orders at our discretion due to limited availability, errors in product information, or suspected fraud.

4.3 Payments

Payment must be received in full before orders are processed. We accept major credit cards and approved financing methods. By providing a payment method, you represent that you are authorized to use it.

5. SHIPPING, DELIVERY, AND RETURNS

5.1 Drop-Ship Model

Stay Staged operates primarily on a drop-ship model. Products are shipped directly from our manufacturing partners to your designated address. Shipping times and methods vary by vendor and product. Estimated delivery dates are not guarantees.

5.2 Damage and Defects

You must inspect all deliveries upon receipt. Any damages, defects, or missing items must be reported to our customer support team within 48 hours of delivery, accompanied by photographic evidence. Failure to report within this window may void your claim.

5.3 Returns and Cancellations

Return policies vary by vendor partner. Many commercial and custom orders are non-refundable and non-cancellable once processing begins. Please review the specific return policy associated with each product before purchasing. Restocking fees and return shipping costs may apply.

6. AFFILIATE AND COMMISSION PROGRAMS

6.1 Eligibility and Payouts

Approved users may participate in our affiliate and commission programs. Commissions are based on tiered volume structures outlined on our platform. Commissions are earned on the net purchase price (excluding taxes, shipping, and returns) and are paid out according to our designated schedule (e.g., quarterly).

6.2 Program Modification

We reserve the right to modify commission rates, tier thresholds, or terminate the affiliate program at any time with reasonable notice.

7. INTELLECTUAL PROPERTY

All content on the Services, including text, graphics, logos, images, software, and the compilation thereof, is the property of Stay Staged or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written consent.

You grant Stay Staged a non-exclusive, worldwide, royalty-free license to use, display, and reproduce any feedback, reviews, or project photos you submit to our platform for marketing and promotional purposes.

8. PROHIBITED CONDUCT

You agree not to:

• Use the Services for any unlawful purpose.
• Attempt to gain unauthorized access to our systems or user accounts.
• Interfere with or disrupt the integrity or performance of the Services.
• Scrape, mine, or extract data from our platform without permission.
• Resell products purchased on Stay Staged at retail prices below our Minimum Advertised Price (MAP) policies, if applicable.
• Share trade pricing or proprietary platform information publicly.

9. DISCLAIMER OF WARRANTIES

THE SERVICES AND ALL PRODUCTS OBTAINED THROUGH THE PLATFORM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. STAY STAGED DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STAY STAGED AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND VENDORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES OR PRODUCTS OBTAINED THROUGH THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY EXCEED THE AMOUNT PAID BY YOU TO STAY STAGED FOR THE SPECIFIC ORDER OR SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Stay Staged and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

12. GOVERNING LAW AND DISPUTE RESOLUTION

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

12.2 Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, shall be determined by binding arbitration in Delaware before a single arbitrator. The arbitration shall be administered by JAMS. Judgment on the Award may be entered in any court having jurisdiction.

12.3 Class Action Waiver

YOU AND STAY STAGED AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

13. MODIFICATIONS TO TERMS

We may revise these Terms from time to time at our sole discretion. We will notify you of material changes by posting the updated Terms on the platform and updating the "Effective Date." Your continued use of the Services following the posting of revised Terms means you accept and agree to the changes.

14. SEVERABILITY AND WAIVER

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. Our failure to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing.
